Welcome to PrimePulse ("Agency," "we," "us," or "our"). By accessing our website (primepulsesystem.com), booking a consultation, or engaging our services, you agree to comply with and be bound by the following Terms and Conditions.

1. Scope of Services

PrimePulse provides digital solutions for local service businesses, including:

Custom mobile-responsive landing page and website design.

Lead-capture funnel architecture and speed-to-lead routing.

CRM and WhatsApp lead alert automations.

Google review collection workflows and local visibility setups.

The specific scope, deliverables, and timelines for each engagement will be detailed in the project invoice or proposal agreed upon prior to kickoff.

2. Fees, Invoices & Payment Terms

One-Time Setup Fees: Project setup fees (e.g., website builds) must be paid according to the payment schedule specified in the invoice (e.g., 50% upfront deposit to initiate work, with the remaining balance due upon staging approval and prior to domain launch).

Recurring Subscriptions: Monthly retainers (e.g., WhatsApp lead alert systems, hosting/maintenance, review automations) are billed in advance on a recurring monthly cycle via automated payment links, UPI Autopay, or e-mandate through our payment gateway.

Late Payments & Pauses: Retainer invoices overdue by more than seven (7) days may result in temporary suspension of automation workflows, CRM accounts, or hosting services until outstanding dues are settled.

3. Client Obligations & Content

To complete deliverables within agreed timelines, the Client agrees to:

Provide required digital assets, logos, high-resolution media, and business information in a timely manner.

Review staging previews and provide consolidated feedback promptly.

Ensure all customer contact lists, phone numbers, and content provided for database reactivation comply with applicable communication and consent laws.

4. Intellectual Property

Client Assets: The Client retains full ownership of all logos, trademarks, copyrighted copy, and media provided to us.

Final Deliverables: Upon receipt of full payment for the one-time build fee, the Client is granted full ownership and rights to the front-facing website design and copy created for their business.

Proprietary Frameworks: Underlying automation templates, reusable code snippets, and internal software workflows developed by PrimePulse remain our proprietary intellectual property.

5. Performance & Earnings Disclaimer

PrimePulse builds conversion-optimized assets, high-speed mobile interfaces, and automated notification systems designed to maximize lead conversion. However, we do not control market conditions, third-party platform algorithms (such as Google Maps or Meta), or the Client’s internal sales handling once a lead is delivered. We do not guarantee specific monetary returns, revenue targets, or fixed lead volumes.

6. Retainer Cancellation & Termination

Monthly retainer services operate without long-term lock-in contracts.

Clients may cancel recurring monthly retainers at any time by providing at least 14 days’ written notice prior to the next billing cycle.

Setup deposits and fees paid for custom website development hours already completed are non-refundable.

7. Limitation of Liability

To the maximum extent permitted by applicable law, PrimePulse shall not be liable for any indirect, incidental, or consequential damages resulting from third-party service downtime (including hosting outages, WhatsApp API suspensions, or Google algorithmic shifts).

8. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in Bengaluru, Karnataka, India.
